1.ACCEPTANCE OF TERMS

The following Terms of Service (“Agreement”) are entered into by and between you (“User,” “Learner,” or “you”) and Clinical Science Research Solutions (“CSRS,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, educational platforms, courses, programs, mentorship services, webinars, content, and related services (collectively, the “Services”).
Please read these Terms carefully before accessing or using the Services. 2.PURPOSE OF THE SERVICES

The Services may include informational content, educational and professional development offerings, communications, inquiries, webinars, mentorship activities, marketing and outreach initiatives, enrollment and account features, and other related resources or services made available through CSRS platforms. Certain Services may include live sessions, on-demand materials, learning management system (LMS) activities, assessments, and supplemental resources.
CSRS programs and educational offerings are intended solely for educational and professional development purposes. Enrollment in or completion of any program does not guarantee employment, job placement, clinical trial placement, regulatory authorization, sponsor participation, professional certification eligibility, or any specific professional or career outcome.

3.CHANGES TO THESE TERMS

We reserve the right to revise, modify, or update these Terms at its sole discretion. Any changes will become effective upon posting unless otherwise specified and will apply to future use of the Services. By continuing to access or use the Services after updated Terms are posted, you acknowledge and agree to the revised Terms. Users are encouraged to review these Terms periodically for updates.

4.NO PROFESSIONAL ADVICE

The Services are for educational purposes only and do not constitute medical, clinical, legal, regulatory, or professional advice. Users are responsible for independently verifying all information and ensuring compliance with applicable requirements.
Users acknowledge they have not relied on any oral or written statements outside these Terms, and no such statements shall create any obligation or modify these Terms.

5.PROGRAM ACCESS

Access to courses, programs, educational materials, and related Services is granted solely to the enrolled learner and is personal, non-transferable, and non-sublicensable. Users may not share, distribute, sell, assign, or otherwise make available their access credentials or program content to any third party.
We reserve the right to suspend, restrict, or revoke access at its discretion for any violation of these Terms, program requirements, or CSRS policies.

6.ACADEMIC REQUIREMENTS

Learners are expected to maintain academic integrity and professional conduct throughout their participation in the program. Learners may be required to complete coursework, assessments, assignments, and program activities in accordance with applicable academic and progression requirements. Certain modules or content may require completion of prerequisite coursework, minimum assessment scores, or other progression standards before additional content becomes available.
We reserve the right to establish, modify, or apply remediation requirements, progression standards, and completion criteria at its discretion.

7.PARTICIPATION AND ONBOARDING REQUIREMENTS

Certain learners may be required to complete onboarding activities or supplemental requirements based on prior experience, competency level, educational background, or program-specific needs. We reserve the right to determine, modify, or apply such onboarding requirements at its discretion.
Programs may include live instructional sessions, webinars, discussions, and on-demand educational materials. Participation in live sessions may be optional unless explicitly stated as mandatory for a specific program. Regardless of attendance, learners remain responsible for completing all required coursework, assignments, and program requirements, including reviewing recorded or on-demand materials where provided.

8.RECORDING AND USE OF SESSIONS

We may record live sessions, webinars, and related activities for educational, training, quality assurance, and operational purposes. By participating, users consent to such recording.
We may use such recordings internally and, where permitted by law, for informational or promotional purposes.

9.PROFESSIONAL CONDUCT

  • By using the Platform and participating in the Services, users agree to maintain lawful, respectful, and professional conduct at all times. We may suspend, restrict, or terminate access to the Services for any violation of these standards, including but not limited to:
  • Engaging in unlawful, abusive, harassing, discriminatory, or otherwise inappropriate behavior.
  • Disrupting or interfering with the operation, security, or delivery of the Platform or Services.
  • Attempting unauthorized access to any part of the Platform, accounts, or systems.
  • Using bots, scrapers, or automated tools without prior written authorization.
  • Misrepresenting identity, credentials, qualifications, enrollment status, or affiliation.
  • Engaging in academic dishonesty, including cheating, plagiarism, or falsification of work.
  • Copying, sharing, or distributing course materials or proprietary content without authorization.
  • Violating CSRS policies or program requirements.

10.PAYMENT TERMS

Payment obligations, fees, and installment plans must be paid in full as a condition to access certain Services, including classes, courses, and program content. Failure to complete payment may result in restriction or denial of access to the Services.
All fees are non-refundable, except where required by applicable law. By enrolling in a program or Service, users agree to comply with all applicable payment obligations and policies.

11.INTELLECTUAL PROPERTY

All educational materials, course content, recordings, presentations, assessments, templates, documents, and other resources provided through the Services, as well as all content available through the Services, including text, images, graphics, logos, layouts, user interface elements, and code are the exclusive property of CSRS or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, distribute, modify, adapt, create derivative works from, publicly display, publish, transmit, or otherwise use any such content in any form without prior written permission from CSRS. You may not use the name CSRS, its logo, slogans, or any related trademarks without express written consent, and nothing in these Terms grants you any rights, title, or interest in or to the intellectual property of CSRS.
Any unauthorized use of intellectual property may result in suspension or termination of access to the Services and may also result in legal action.

12.INDEMNIFICATION

You agree to indemnify, defend, and hold harmless CSRS, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or related to your use of or inability to use the Services, your violation of these Terms, your user-generated content, your interaction with third-party services or providers, or your violation of any applicable laws or third-party rights.
CSRS reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to fully cooperate with CSRS in the defense of any such claim.

13.LIMITATION OF LIABILITY

We provide educational and related services only and makes no guarantee regarding specific outcomes arising from participation in the Services. To the maximum extent permitted by law, CSRS shall not be liable for indirect, incidental, consequential, professional, employment-related, business-related, or other damages arising from participation in or use of the Services.

14.TERMINATION

CSRS may suspend or terminate your access to the Services at any time, with or without notice, if it determines, in its sole discretion, that you have violated these Terms or engaged in conduct that may harm CSRS, the Services, its operations, or other users.
Upon termination, your right to access or use the Services will immediately cease. Termination shall not affect any rights, obligations, or liabilities that accrued prior to such termination.
The provisions of these Terms that by their nature are intended to survive termination, including but not limited to Intellectual Property, Indemnification, Limitation of Liability, Governing Law and Dispute Resolution, Severability, and this Termination clause shall continue to remain in effect after termination.

15.FORCE MAJEURE

Neither party shall be liable for any delay or failure in performance of its obligations under these Terms if such delay or failure results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, war, terrorism, riots, civil unrest, governmental actions, labor strikes, power outages, internet or telecommunications failures, pandemics or other similar events. In such circumstances, the affected party shall be entitled to a reasonable extension of time to perform its obligations under these Terms.

16.GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to conflict of law principles. Any legal action arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Missouri, and the parties consent to the jurisdiction of such courts.

17.MODIFICATIONS

We reserve the right to modify, revise, update, or discontinue any portion of the Services or these Terms at any time in its sole discretion. Any changes will become effective upon posting unless otherwise specified. Continued use of the Services following such changes constitutes acceptance of the revised Terms.

18.SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable. If such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

19.ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CSRS regarding the Services and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, relating to the subject matter herein.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy.
